Terms of Service

The following terms apply to inquiries, quotations and sales conducted through this site by SH-MEMS. Please read them before ordering; where a formal quotation differs from this page, the quotation prevails.

Quotations and orders

• Semiconductor prices move with batch dates and market conditions — figures on this site are tax-included reference prices or "price on request"; the quotation is authoritative;
• Each quotation states its validity period, MOQ, standard package (SPQ) and estimated lead time;
• An order becomes effective once confirmed in writing by both parties (email is sufficient).

Payment

• Volume orders: bank transfer (T/T);
• Small and sample orders: PayPal is accepted;
• Unless otherwise agreed, orders ship after payment is received.

Trade terms and delivery

• Default Incoterms: EXW Shenzhen or FOB Shenzhen (our Bao'an, Shenzhen warehouse); DDP can be arranged for selected destinations;
• Lead times are estimates: in-stock parts ship after payment confirmation, volume orders follow the manufacturer schedule, and split deliveries are stated on the quotation;
• Title and risk pass according to the agreed Incoterms 2020 term.

Inspection, returns and warranty

• Complete incoming inspection within 30 days of receipt and report any visual or functional defect with batch information;
• Returns require prior written agreement; unauthorized returns are not accepted, and agreed returns may carry a reasonable restocking fee;
• Product warranty is the manufacturer's; we guarantee sourcing from the manufacturer or an authorized channel and can provide batch and shipment records on request.

Compliance and intellectual property

• RoHS / REACH reports and material declarations are available per part number;
• Datasheets and trademarks belong to the respective manufacturers; they are distributed here for selection reference only.

Liability and governing law

• Our liability for any single order is limited to its order value; indirect losses are excluded;
• These terms are governed by the laws of the People's Republic of China; disputes are settled by friendly negotiation first, then by the competent authority in Shenzhen.
